Title: Associate Counsel (NJUS)

Purpose of Position
The Associate Counsel will be responsible for handling a variety of business/corporate law issues including analyzing risk, advising the organization on legal matters and handling complex commercial transactions and other corporate matters.
Tasks and Responsibilities
- Assist with/manage a wide variety of complex business law issues, including advising business partners on contract rights and other matters.
- Assist with all legal aspects, including due diligence, associated with mergers and acquisitions.
- Manage various contract negotiations with manufacturers and vendors; includes managing outside counsel on such matters when appropriate.
- Review and prepare NDAs.
- Provide legal advice, counsel and service to internal business clients concerning a variety of legal matters, including rights, risks, and obligations.
- Research and analyze laws, regulations and related cases.
- Assist in review, drafting and negotiation of all types of contracts, letters of agreement and other related documents.
- Work closely with cross-functional teams, including senior management.
- Conduct risk assessments on various business and contract issues.
- Handle other legal issues as needed.

- Experience in all aspects of business law. Law firm or in-house experience at a large corporation.
- Excellent oral and written communication skills.
- Experience drafting and administering letters of agreement, contracts, and corporate documents.
- Experience with contract negotiations.
- Excellent understanding of business issues and their connection to changing legal landscapes.
- Excellent risk assessment skills and the ability to explain such risks clearly.
- Effectively partner with and counsel business partners; must work well with outside counsel.
