Purpose of Position

The Associate Counsel will be responsible for handling a variety of business and corporate law issues, including complex commercial transactions, technology licensing (primarily in-licensing of data, software, technical documentations and other copyrighted materials or trade secrets), and intellectual property advice, counsel, and strategy management. This role requires expertise in data license negotiations and strategic protection of rights to license, use, and sublicense data from or in collaboration with external partners, including original equipment manufacturers. The Associate Counsel will also support internal process creation, develop templates, and enable self-service tools to streamline legal operations within an evolving environment.  

Tasks and Responsibilities

  • Manage various types of litigation matters, arbitrations and agency actions where NetJets is a party; includes managing outside counsel and handling cases internally when appropriate.
  • Provide legal advice, counsel and service to internal business clients concerning a variety of legal matters, including rights, risks, and obligations. 
  • Research and analyzes laws, regulations and related cases; monitor changes in the law.
  • Assist in review and negotiation of various contracts, such as procurement, benefits and fractional program contracts.
  • Develop and deliver training on compliance issues, such as employment, ethics, safety, FCPA, anti-bribery, privacy and other laws.

Years of Experience

  • 5-8 years of experience as a practicing attorney preferred, with a minimum of 3-5 years of substantive technology transactions experience.

Certifications and Licenses

  • Must be licensed to practice law in Ohio or be eligible for admission to the Ohio bar.

Knowledge, Skills, Abilities and Other (KSAOs)

  •  Experience in Business Law: Proven experience in business, commercial, and technology/IP law, with law firm or in-house experience preferred. 
  •  Contract Management: Skilled in structuring, drafting, and negotiating a range of agreements, including technology licensing and intellectual property contracts.  
  • M&A Knowledge: Able to conduct due diligence and manage M&A activities, including collaboration with various legal resources as needed. 
  •  Process Improvement: Ability to operate in a fast-paced environment where processes are still being established; experience creating templates and enabling self-service legal tools. 
  • Government Contracts (Preferred): Experience with contracting requirements for federal contractors (e.g. FAR, DFARS) is a plus but not required. 
  • Communication of Legal Risks: Excellent verbal and written communication skills, with a demonstrated ability to understand and analyze complex legal concepts and contractual terms and to accurately identify, assess and explain legal risks clearly and concisely. 
  •  Collaborative and Client-Focused: Strong ability to partner with business clients, work within cross-functional teams, and engage external counsel as required
  • Time Management: Strong interpersonal and prioritization skills and ability to manage multiple deadlines effectively.
